Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Arandu Labs LLC, a United States Limited Liability Company ("Arandu Labs," "we," "us," or "our").

Official Legal Version: These Terms of Service are issued by Arandu Labs LLC, a United States entity. This English version is the sole legally binding and prevailing official version. Any translations provided in other languages are for convenience only and constitute unofficial translations.

1. BINDING AGREEMENT & DEFINITIONS

By accessing, downloading, installing, or using any part of the services, software, websites, or digital products provided by Arandu Labs LLC (collectively, the "Services"), you unequivocally agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of our Services.

For the purposes of this Agreement, the following definitions shall apply:

"Software" refers to any binary code, scripts, source code, mobile applications (including but not limited to FirmApp, JWallet, and related utilities), and any updates or derivatives provided by us.
"Platform" includes our primary domain (arandulabs.dev), subdomains, and any cloud-based infrastructure managed by Arandu Labs.
"User Content" encompasses any data, files, text, images, or metadata uploaded, processed, or generated by the User within the Services.
"Services" collectively describes the Software, Platform, and any technical support, maintenance, or advisory services provided by Arandu Labs.

This Agreement is formed as an electronic contract. Your continued use of the Services signifies your ongoing consent to these Terms and any future modifications published herein.

2. INTELLECTUAL PROPERTY RIGHTS

The Services are owned and operated by Arandu Labs LLC. All rights, title, and interest in and to the Services, including but not limited to algorithms, proprietary code, user interfaces, visual design, trademarks, service marks, logos, and patents, are and shall remain the exclusive property of Arandu Labs LLC.

Arandu Labs grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for your personal or internal business purposes, subject to your strict compliance with these Terms.

Restrictions on Use

Under no circumstances shall you:

Modify, adapt, translate, or create derivative works of the Software or Platform.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any product distributed by us.
Sublicense, lease, or distribute our Software to third parties without express written consent.
Remove or obscure any copyright notices, trademarks, or proprietary markings on the Software.

Unauthorized use of our Intellectual Property constitutes a material breach of this Agreement and may subject the User to significant legal liabilities under United States and international law.

3. USER REPRESENTATIONS & WARRANTIES

By using the Services, you represent and warrant that:

You have the legal capacity and authority to enter into this binding Agreement.
You are at least 18 years of age (or the age of majority in your jurisdiction).
Your use of the Services will not violate any applicable law, regulation, or third-party right.
The information you provide to Arandu Labs, if any, is accurate, current, and complete.

If we suspect that any of these representations are false, Arandu Labs reserves the right to terminate your access to the Services immediately and without prior notice.

4. PROHIBITED CONDUCT

The integrity and security of our Services are paramount. Users are strictly prohibited from engaging in any activity that interferes with or disrupts the Software or Platform. Prohibited activities include, but are not limited to:

Engaging in "scraping," "data mining," or using automated systems (bots, spiders) to extract content from our Platform.
Attempting to breach, probe, or scan the security vulnerabilities of any network or system associated with Arandu Labs.
Uploading malicious code, viruses, worms, or any software designed to cause harm.
Using our Services to transmit "spam" or any unauthorized commercial communication.
Impersonating Arandu Labs staff, partners, or other users.

Violation of this section may lead to civil and/or criminal prosecution under the Computer Fraud and Abuse Act (CFAA) and other relevant statutes.

5. FINANCIAL & PROFESSIONAL DISCLAIMER

ARANDU LABS LLC IS NOT A FINANCIAL ADVISOR, LEGAL ADVISOR, OR REGISTERED ACCOUNTANT. Our Services, including financial tools, calculators, and crypto-asset management interfaces, are provided FOR INFORMATIONAL PURPOSES ONLY.

Nothing contained in our Services shall be construed as financial, legal, or tax advice. We do not provide recommendations to buy, sell, or hold any security, asset, or financial instrument.

You acknowledge and agree that:

The data provided by our Software may contain inaccuracies or be delayed by market conditions.
Any decision made based on the information provided by our Software is solely your responsibility.
You are encouraged to consult with a qualified professional before making any financial or legal commitment.
Arandu Labs LLC does not guarantee any specific financial outcome, gain, or avoidance of loss.

The User assumes 100% of the risk associated with any economic decision taken while using our applications.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARANDU LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

UNDER NO CIRCUMSTANCES WILL ARANDU LABS LLC BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICES OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

ARANDU LABS LLC ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICES; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES.

This limitation of liability apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Arandu Labs has been advised of the possibility of such damage.

7. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Arandu Labs LLC and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

Your use of and access to the Services, including any data or content transmitted or received by you.
Your violation of any term of these Terms, including without limitation your breach of any of the representations and warranties above.
Your violation of any third-party right, including without limitation any right of privacy or Intellectual Property rights.
Your violation of any applicable law, rule, or regulation.

8. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by the laws of the United States, without respect to its conflict of laws principles. Any dispute arising under this Agreement shall be resolved in accordance with the following provisions:

Mandatory Binding Arbitration

Any claim, dispute, or controversy arising out of or in connection with or relating to this Agreement or the breach or alleged breach thereof shall be submitted to and finally settled by binding arbitration administered by the American Arbitration Association (AAA) in the United States.

Class Action Waiver

YOU AGREE THAT BY ENTERING INTO THIS AGREEMENT, YOU AND ARANDU LABS LLC ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

9. MODIFICATIONS & SEVERABILITY

Arandu Labs LLC reserves the right, in its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
